10. Limitation of Liability

To the fullest extent permitted by applicable law, Johnson Workforce shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, or the like that may be transmitted to or through the Services; or (v) any errors or omissions in any content.

11. Indemnification

You agree to indemnify, defend, and hold harmless Johnson Workforce, its affiliates, subsidiaries, licensors, and service providers, and each of their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of this Agreement; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Services caused damage to a third party.

12. Governing Law

This Agreement shall be governed and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

13. Dispute Resolution

Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Florida, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

14. Miscellaneous

- Severability: If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, such determination will not affect the validity of any other provision, and the provision in question shall be reformed to reflect the intent of the provision to the greatest extent possible.

- Entire Agreement: This Agreement constitutes the entire agreement between you and Johnson Workforce regarding your use of the Services and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.

- Waiver: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Johnson Workforce’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
